Derek Kearns Featured in Axios Article: “SEC’s Blank-Check Rules Coincide With Market Slump”


The Securities and Exchange Commission (SEC) introduced fresh regulations and changes on January 24, 2024, aimed at improving transparency and bolstering investor safeguards during initial public offerings (IPOs) involving special purpose acquisition companies (SPACs) and subsequent business combinations between SPACs and target firms (de-SPAC transactions).

Centri’s Derek Kearns, Partner and SEC & Financial Reporting Practice Leader, was interviewed by Axios on the ruling and featured in their article, “SEC’s Blank-Check Rules Coincide With Market Slump.” Derek discussed how the new rules are in line with comments from the SEC on documents that SPACs and target companies have been submitting over the last two years, making it “less of a sudden shock to the system.” 

Centri discussed this proposed rule in May 2022, noting that a significant volume of comments from the public could delay the issuance of the final ruling. Due to the complexity of these transactions, it is likely that the SEC considered substantial feedback from interested parties.
